GR Software Company Terms and Conditions

This Terms and Conditions is a contract between GR Software Company LLC, Its product, Thulii Digital Signage ("our", "we", or "us") and the person or business ("you", "your", "customer", or "client").
By openning and account you agree to respect and follow these terms and conditions. If you are not agree with any of these terms, please do not use our solution.
These terms can be updated at any time by us and it is your responsability to be aware of any changes or updates.
You agree with these terms and conditions if you keep using our solution after the terms and conditions being updated.

1. Elegibility

You must be at least 18 years old to use our platform.

2. Software

2.1 Use

You agree to use our software "AS IS" and you agree to DO NOT or allow someone else to copy, modify or reverse engineer our solution.
You are prohibited to use browser inspectors and debuggers to inspect our software. Our solution detects these events and will result in the inmediate termination of your account.
You cannot sell or lease our solution.
If you are using our software on behalf of a company or business, you are responsible to follow these terms and conditons.

2.2 Registration

You are required to open an account to use our solution.
You must provide correct information about you and your business.
You are responsible for keeping your username and password safely secured.

2.3 Type of Accounts

When you open an account, you can be either a signage owner or and advertiser.
Both signage owners and advertisers are responsible for and assume all liability for any Content creation and accept full responsability and liability associated with using our solution to display any Content.
Signage owners have the right to accept or reject any advertiser request.
Signage owners can set any price greater than $1 (minimum charge daily) for advertising on their screen.
If signage owners enables our SPLIT feature, you are responsible to enter accurate information about the business location.
Advertisers are responsible to review the daily price and the total charge associated with the screens location.
Ads have a duration of 15 seconds.

2.4 Subscriptions

Only signage owners pay monthly subcriptions per screen.
Advertisers pay per location and only when their ads are approved.

2.5 Split Payouts

Any advertising revenue MINUS TRANSACTION FEES are divided 80% for the signage owner and 20% for Thulii.
Transaction fees outside the USA territories can vary. Please refer to Paypal Fees for a complete fee chart.
Split payouts are distributed as soon as the advertisers pays for their ads.
Split payouts are done using Paypal. Signage owners need to have an active Paypal account.

2.6 Taxes

Signage owners are responsible for any taxes for using our solution.

2.7 Payment Collection and Distribution

For security reasons, We use Paypal as our payment collection and distribution. Please refer to Paypal Legal to learn bout their Terms and Conditions.

3. Content

We have no responsability for any content display.
Signage owner are reponsible for any content display. It is your responsability to review, approve or reject any ad request.
You cannot display or approve any content that contain violence, pornography, false or misleading information.
We will imediately close your account if you fail to follow these content guidelines.
We offer royalty free profesional pictures and templates. If you you any picture or video that are not royaly free, you are responsible for any copyright infringement.

4. Payments

For security purposes, we use Paypal as our third-party payment processor.

5. DISCLAIMERS OF WARRANTIES and LIABILITIES

YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. WE HAVE NO LEGAL DUTY TO YOU. YOU ARE THE ONLY RESPONSIBLE FOR THE USE OF OUR SOLUTION AND THE CONSEQUENCES THEREOF.
GR SOFTWARE COMPANY COMPANY LLC PROVIDES IT PRODUCT THULII "AS IS" AND WITHOUT ANY WARRANTY OF ANY KIND. WE DO NOT GUARANTEE THAT OUR SOFTWARE WILL WORK UNDER CIRCUSTANCES THAT WE CANNOT HANDLE SUCH AS INTERNET CONNECTION LOSS, CLOUD SERVICE OUTRAGE, HARDWARE MALFUNCTION.
UNDER ANY CIRCUSTANCE, GR SOFTWARE COMPANY LLC AND ITS MEMEBERS (DIRECTORS, OFFICERS, EMPLOYEES, SHAREHOLDERS, AFFILIATES), BE LIABLE FOR ANY REASON.IN SOME JURISDICTION LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

6. Governing Law

In case of any claim or dispute, you agree that it will be resolved exclusively in any court in Brevard County, Florida, USA.

2. Software

2.1 Use

Usted acepta usar nuestro software "TAL CUAL" y acepta NO HACER o permitir que otra persona copie, modifique o aplique ingeniería inversa a nuestra solución.
Está prohibido utilizar inspectores de navegador y depuradores para inspeccionar nuestro software. Nuestra solución detecta estos eventos y los resultar en la terminación inmediata de su cuenta.
No puede vender ni arrendar nuestra solución.
Si está utilizando nuestro software en nombre de una empresa o negocio, es responsable de seguir estos términos y condiciones.

Tanto los propietarios de letreros como los anunciantes son responsables y asumen toda responsabilidad por cualquier creación de Contenido y aceptan toda la responsabilidad. y responsabilidad asociada con el uso de nuestra solución para mostrar cualquier Contenido.
Los propietarios de letreros tienen derecho a aceptar o rechazar cualquier solicitud del anunciante.
Los propietarios de letreros pueden establecer cualquier precio superior a $1 (cargo mínimo diario) para la publicidad en su pantalla.
Si los propietarios de letreros habilitan nuestra función DIVIDIR, usted es responsable de ingresar información precisa sobre la ubicación de la empresa.
Los anunciantes son responsables de revisar el precio diario y el cargo total asociado con la ubicación de las pantallas.
Los anuncios tienen una duración de 15 segundos.

2.4 Subscripciones

Solo los propietarios de letreros pagan suscripciones mensuales por pantalla.
Los anunciantes pagan por ubicación y solo cuando se aprueban sus anuncios.

2.5 Split Pagos

Todos los ingresos por publicidad MENOS LAS TARIFAS DE TRANSACCIÓN se dividen en un 80 % para el propietario de la señalización y en un 20 % para Thulii.
Las tarifas de transacción fuera de los territorios de EE. UU. pueden variar. Consulte Tarifas de Paypal para obtener una tabla de tarifas completa.
Los pagos divididos se distribuyen tan pronto como los anunciantes pagan por sus anuncios.

2.6 Impuestos

Los propietarios de letreros son responsables de cualquier impuesto por usar nuestra solución.

2.7 Recaudación y distribución de pagos

Por razones de seguridad, utilizamos Paypal como nuestro cobro y distribución de pagos. Consulte Paypal Legal para conocer sus Términos y condiciones.

3. Contenido

No somos responsables de ninguna visualización de contenido.
El propietario de la señalización es responsable de cualquier visualización de contenido. Es su responsabilidad revisar, aprobar o rechazar cualquier solicitud de anuncio.
No puede mostrar ni aprobar ningún contenido que contenga violencia, pornografía, información falsa o engañosa.
Cerraremos su cuenta de inmediato si no sigue estas pautas de contenido.
Ofrecemos imágenes y plantillas profesionales libres de regalías. Si toma alguna imagen o video que no esté libre de derechos de autor, usted es responsable de cualquier infracción de derechos de autor.

4. Pagos

Por motivos de seguridad, utilizamos Paypal como nuestro procesador de pagos de terceros.

5. RENUNCIA DE GARANTÍAS y RESPONSABILIDADES

EL USO DEL SERVICIO ES BAJO SU PROPIO RIESGO. NO TENEMOS NINGUNA OBLIGACIÓN LEGAL HACIA USTED. USTED ES EL ÚNICO RESPONSABLE DEL USO DE NUESTRA SOLUCIÓN Y DE SUS CONSECUENCIAS.
GR SOFTWARE COMPANY COMPANY LLC PROPORCIONA EL PRODUCTO THULII "TAL CUAL" Y SIN GARANTÍA DE NINGÚN TIPO. NO GARANTIZAMOS QUE NUESTRO SOFTWARE TRABAJAR BAJO CIRCUNSTANCIAS QUE NO PODEMOS MANEJAR, COMO PÉRDIDA DE CONEXIÓN A INTERNET, INTERRUPCIÓN DEL SERVICIO EN LA NUBE, MAL FUNCIONAMIENTO DEL HARDWARE.
BAJO CUALQUIER CIRCUNSTANCIA, GR SOFTWARE COMPANY LLC Y SUS MIEMBROS (DIRECTORES, FUNCIONARIOS, EMPLEADOS, ACCIONISTAS, AFILIADOS), SERÁ RESPONSABLE POR CUALQUIER MOTIVO. EN ALGUNAS JURISDICCIONES, LA RESPONSABILIDAD SE LIMITA AL GRADO MÁXIMO PERMITIDO POR LA LEY.

6. Ley aplicable

En caso de cualquier reclamo o disputa, usted acepta que se resolverá exclusivamente en cualquier tribunal del condado de Brevard, Florida, EE. UU.
